Terms of Service

Last updated: June 12, 2026

These Terms of Service ("Terms") govern your access to and use of the mayoo.ai website, API, and desktop application (collectively, the "Service"), operated by Symodal LLC ("Mayoo", "we", "us", or "our"). By creating an account, making API calls, or making any purchase, you agree to these Terms. If you are entering into these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity.

1. Description of the Service

Mayoo is an API gateway that forwards your requests to third-party large-language-model providers (the "Upstream Providers") and bills you for the tokens those providers consume. We are an independent third party — not affiliated with, sponsored by, or endorsed by any Upstream Provider.

2. Account & Eligibility

  • You must be at least 18 years old (or the minimum age of digital consent in your jurisdiction, if higher).
  • You are responsible for keeping your password and API keys confidential. All activity originating from your account or keys is attributed to you.
  • You agree to provide accurate information and to keep it up to date.

3. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party right;
  • Generate or distribute material that is unlawful, defamatory, harassing, fraudulent, or that sexually exploits minors;
  • Generate malware, phishing kits, or content designed to facilitate illegal access to systems;
  • Probe, scan, or test the vulnerability of the Service except via responsible-disclosure channels;
  • Resell, sublicense, or repackage the Service without our prior written consent;
  • Circumvent rate limits, usage controls, or any access restrictions;
  • Use the Service in a manner that violates the terms of any Upstream Provider.

We may suspend or terminate accounts that violate these rules, without notice when necessary to protect the Service or other users.

4. Fees, Billing & Taxes

  • The Service is sold on a strictly prepaid, pay-as-you-go basis in US dollars.
  • Each API call is metered and deducted from your balance at the published rate.
  • Payments are processed by Stripe under Stripe's own terms.
  • You are responsible for any taxes, duties, or levies imposed by your local jurisdiction.
  • We may change pricing on a forward-looking basis with at least 14 days' notice posted on this site.

5. Refunds

This section governs when and how you can request a refund of prepaid balance on direct purchases made through the Service. Distributor (wholesale) accounts are governed by a separate Distributor Agreement; the 24-hour window and the rules below apply to standard consumer top-ups only.

Bought your credit from a distributor or reseller? This self-service refund does not apply to you — your balance was provided by that distributor, not purchased directly from Mayoo. Please request any refund from the distributor or reseller you bought from.

5.1 Refund Window

You may request a refund of any unused portion of a top-up within 24 hours of the original charge. After 24 hours, the charge is final and no longer eligible for a refund. Tokens already consumed by API calls before the refund request are non-refundable, because the upstream model provider has already billed us for them.

5.2 Refund Calculation

Each top-up is tracked separately. The refund amount for an eligible charge is calculated proportionally based on the unused credit remaining in that charge:

Refund = Amount Paid × (Unused Credit ÷ Credit Granted) × (1 − 5%)

The 5% processing fee covers costs we cannot recover (Stripe does not return its original processing fee on a refund). Refunds are issued in the original currency and to the original Stripe payment method. We cannot refund to a different card, bank, or wallet. In practice you are refunded the unused share of the credit from that charge, less the 5% fee — expressed as a percentage of what you actually paid:

Credit used Refunded (of the amount you paid)
None100% unused × 95% = 95%
Half50% unused × 95% = 47.5%
90%10% unused × 95% = 9.5%

Non-USD charges are calculated in the original currency at the original charged amount. Exchange-rate differences and bank conversion fees are not refunded.

5.3 Partial Refunds

You may request multiple partial refunds against the same charge (for example, refunding a portion now and more later within the 24-hour window), as long as the cumulative refunded amount does not exceed the eligible refund for that charge.

5.4 How to Request a Refund

  1. Go to Recharge History in your dashboard or desktop app and select the charge you want to refund.
  2. If the charge is within the 24-hour window, a Refund button will be available. Click it to see a preview of the refund amount, then confirm.
  3. If the refund button is not visible, the 24-hour window has passed or the charge is not eligible. You may also email [email protected] for assistance.
  4. Approved refunds are submitted to Stripe promptly. Stripe typically takes 5–10 business days to return the funds to your original payment method.

5.5 Non-Refundable Items

  • Credit already consumed by API calls before the refund request;
  • Top-ups older than 24 hours;
  • Redeemed gift card (card key) credits — once a gift card is redeemed, the funds are applied immediately and are non-refundable;
  • Credits purchased through a distributor or other third-party channel — please contact your point of purchase for refund requests on those transactions;
  • Promotional balance, referral credits, or bonus credits granted by Mayoo;
  • Accounts terminated by Mayoo for violation of these Terms.

5.6 Disputed Charges & Chargebacks

If you believe a charge is unauthorized or incorrect, please contact us at [email protected] before initiating a chargeback with your card issuer. We will work in good faith to resolve the issue quickly. Initiating a chargeback without contacting us first may result in account suspension while we investigate.

5.7 Service Outages

If the Service is materially unavailable for an extended period, we may at our discretion credit affected accounts with additional balance instead of, or in addition to, a monetary refund. Credit grants are documented in your usage dashboard.

5.8 Statutory Rights

Nothing in this section limits any mandatory refund or cancellation right you may have under applicable consumer-protection law in your jurisdiction.

6. Content & Ownership

You retain ownership of the prompts you submit and the outputs you receive, subject to the applicable Upstream Provider's terms. You grant us a limited license to process, transmit, and count your usage for billing purposes only. We do not use your prompts or outputs to train any machine-learning model operated by us. Upstream Providers may have their own data retention and training practices that are outside our control; please review their terms.

7. Third-Party Providers & Service Availability

Outputs are produced by Upstream Providers and are not warranted by Mayoo. We do not control, and disclaim responsibility for, any output content. You are responsible for ensuring that your use of any output complies with applicable law and the relevant Upstream Provider's terms.

Specific models may become unavailable at any time due to changes made by Upstream Providers without notice to us. If a model you paid to access is permanently discontinued, your sole and exclusive remedy is a proportional refund of the actual amount you paid for the unused portion of the corresponding charge, pursuant to the Refund Policy. We are not liable for any other loss arising from model unavailability.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY OUTPUT IS ACCURATE, COMPLETE, OR FIT FOR YOUR PURPOSE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MAYOO OR SYMODAL LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) US $100. THIS FLOOR IS SOLELY A MINIMUM CAP ON OUR LIABILITY AND DOES NOT OBLIGATE US TO PAY ANYTHING IF NO VALID CLAIM EXISTS.

10. Indemnification

You agree to defend, indemnify, and hold harmless Symodal LLC and its officers, employees, and agents from any claim, loss, liability, or expense arising from (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any third-party right, including any Upstream Provider's terms.

11. Suspension & Termination

You may close your account at any time. We may suspend or terminate your access at any time if you violate these Terms or to protect the Service. Upon termination, any unused prepaid balance is refundable under the Refund Policy — calculated as the proportional actual-payment amount corresponding to unused credit (not the credit face value) — unless the account was terminated for breach of these Terms, in which case no refund is owed.

12. Distributor Program

Participation in the Mayoo distributor (wholesale) program is governed by a separate Distributor Agreement, available in the distributor console after enrollment. In the event of a conflict between the Distributor Agreement and these Terms on distributor-specific matters, the Distributor Agreement governs.

13. Sanctions & Export Compliance

The Service forwards requests to Upstream Providers whose technology is subject to United States export-control and economic-sanctions laws, including those administered by the U.S. Office of Foreign Assets Control (OFAC). You represent and warrant that:

  • You are not located in, ordinarily resident in, or accessing the Service from Cuba, Iran, North Korea, Syria, or the Crimea, Donetsk, or Luhansk regions of Ukraine (the "Restricted Regions");
  • You are not identified on any U.S. government restricted-party list (including OFAC's Specially Designated Nationals list), nor owned or controlled by any such party;
  • You will not use, export, re-export, or make the Service available to any person or in any region in violation of applicable sanctions or export-control laws.

We screen access by IP geolocation and deny requests originating from the Restricted Regions. We may suspend or terminate — without notice and without refund — any account we reasonably believe is used in violation of this section. You remain responsible for compliance with the laws applicable to you.

14. General

  • Entire agreement. These Terms, together with the Privacy Policy, Refund Policy, and any applicable Distributor Agreement, constitute the entire agreement between you and Mayoo regarding the Service and supersede all prior agreements.
  • Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it in the future.
  • Changes. We may revise these Terms from time to time. Material changes will be communicated by email or prominent notice at least 14 days before the effective date. Continued use after the effective date constitutes acceptance of the revised Terms.
  • Contact. Questions about these Terms: [email protected].

15. Governing Law & Dispute Resolution

Governing law. These Terms are governed by the laws of the State of Nevada, United States, without regard to its conflict-of-law principles.

Informal resolution. Before initiating arbitration, you must send a written notice to [email protected] describing the dispute in reasonable detail and the relief you seek. We will attempt to resolve it in good faith within 30 days of receipt.

Binding arbitration. If the dispute is not resolved informally, it will be finally resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (available at adr.org), with the following terms:

  • The seat of arbitration is Clark County, Nevada; hearings may be conducted remotely or in writing if the parties agree or the arbitrator so orders;
  • The arbitrator may award any relief that a court of competent jurisdiction could award on an individual basis;
  • Arbitration fees are allocated per the AAA Consumer Arbitration Rules; we will not seek attorneys' fees unless your claim is determined to be frivolous;
  • The arbitral award is final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver. ALL DISPUTES MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN ANY CLASS, COLLECTIVE, REPRESENTATIVE, OR MASS ARBITRATION OR CLASS ACTION LAWSUIT. THIS WAIVER IS ENFORCEABLE TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. IF THIS WAIVER IS FOUND UNENFORCEABLE FOR A PARTICULAR CLAIM, THAT CLAIM MAY PROCEED IN COURT BUT NOT AS A CLASS ACTION.

Jury trial waiver. TO THE EXTENT ANY MATTER PROCEEDS IN COURT AND IS NOT SUBJECT TO ARBITRATION, YOU AND MAYOO EACH WAIVE THE RIGHT TO A JURY TRIAL FOR THAT MATTER.

Small-claims exception. Either party may bring an individual claim in a small-claims court located in Clark County, Nevada, if the claim qualifies, as an alternative to arbitration.

Limitation period. Any claim arising out of or relating to the Service or these Terms must be commenced within one (1) year after the cause of action accrues, or it is permanently barred, to the fullest extent permitted by applicable law.

Consumer-protection savings. Nothing in this section limits any mandatory, non-waivable right you may have under the consumer-protection laws of your jurisdiction.
